Penguin in Random House deal
Pearson has spurned an approach made by News Corp to buyits book publisher Penguin in favour of a rival deal withBertelsmann, the German media company.

Bertelsmannand Pearson,the education and publishing business which owns the Financial Times, signed a deal to merge their publishing arms Random House and Penguin in a joint venture.

Marjorie Scardino, Pearson chief executive, said the merged company would have greaterresources to invest in digital publishing which could include the development of a web platformselling books to consumers.

Pearson executives said the deal with Bertelsmann had been signed without break clauses, reflecting their confidence in the transaction. Thomas Rabe, chief executive of Bertelsmann, saidthe two companies had signed “binding contracts”. “You should assume that this deal will goahead,” he said.

The announcement followed a weekend race to finish talks that started five months ago. When theFT reported the possibility of a deal late last week, News Corp, which owns HarperCollins, approached Pearson informally “at the highest level” about a possible cash counterbid.
