股份回购 Share repurchase
9月21日，中国证监会对外发布《关于上市公司以集中竞价交易方式回购股份的补充规定》，“放松行政管制，加强监管”成为回购股份补充规定征求意见稿的主要看点。Share repurchase through bidding at stock exchanges would no longer need approval from the China Securities Regulatory Commission , according to a draft regulation issued by the CSRC.
中国证监会近期发布的一份意见稿表示，以集中竞价交易方式回购股份不再需要征得证监会的许可。
上述报道中，share repurchase就是“股份回购”的英文表达，有时候也用share buy-back来表示。“股份回购”指的是公司按一定的程序购回发行或流通在外的本公司股份的行为。是通过大规模买回本公司发行在外的股份来改变资本结构的防御方法。
Share repurchase(股份回购)分为pledge-style/collateralized repo(质押式回购/封闭式回购)和buyout repo(买断式回购/开放式回购)，这里的repo是repurchase agreement的缩略形式。
